Fox acquires Roku for $22 billion; grasp the upcoming modifications.

Fox Corporation revealed on Monday that it has purchased Roku in a deal worth around $22 billion, joining a major US media company with a top global connected TV platform. Fox now controls the entire Roku ecosystem, comprising its smart TV operating system, streaming devices, and The Roku Channel.

The merger is expected to establish the third largest television company in the United States in terms of viewer engagement, pending regulatory approvals and scheduled for completion in the first half of 2027.

What differences occur when buying Roku?

Fox’s new acquisition represents a significant shift in its approach, as it now not only competes with major streaming services like Netflix and Disney+ using its own content, but also has control over a key streaming platform.

Roku is currently in more than 100 million households globally, thanks to its streaming devices and smart TV operating systems.

Fox gains access to a large number of users, audience information, and an advanced digital advertising system as a result of the acquisition, lessening its reliance on traditional cable TV.

The agreement merges two significant free services with advertisements: Tubi, purchased by Fox in 2020, and The Roku Channel, broadening the company’s reach in the FAST (Free Ad-Supported Streaming Television) sector.

Roku investors will be given $160 per share, consisting of a cash and stock mix from Fox. Fox’s current shareholders will own approximately 73% of the merged company, with Roku’s investors retaining the remaining 27%.

Fox obtained a $12 billion credit line to finance the operation and anticipates achieving approximately $400 million in annual synergies.

Roku will maintain its status as an open platform, ensuring that competitive apps and services remain accessible on their devices and smart TVs, according to Fox.

Anthony Wood, the creator and leader of Roku, will remain engaged with the company and will become a member of Fox’s board of directors after the acquisition is finalized.

Companies make sure that consumers do not experience immediate changes in their usage experience and that Fox content will still be accessible on various platforms.
